1. Acceptance of Terms

These Terms of Use ("Terms") are a binding agreement between you and Recycled Base Materials, Inc. ("Recycled Base Materials," "RBM," "we," "us," or "our") governing your access to and use of recycledbase.com and any related content, features, and services (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site. By using the Site, you represent and warrant that you meet this requirement and that any information you provide is accurate and current.

The Site allows you to submit inquiries and testimonials ("Submissions"). You are solely responsible for your Submissions and represent that you own or have the necessary rights to them and that they are truthful and do not violate any law or third-party right.

By making a Submission, you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, edit, publish, display, and distribute the Submission in connection with operating and promoting our business, including publishing approved testimonials (with the name, company, and job title you provide) on the Site and in marketing materials. We are not obligated to publish, and we may decline, edit, moderate, or remove any Submission at any time for any reason. If you would like a published testimonial removed, contact us using the information below.

Do not include confidential or sensitive personal information in a Submission. Information in a published testimonial may be visible to the public.

6. Intellectual Property

The Site and its contents — including text, graphics, logos, images, video, and the "Recycled Base Materials" name and marks — are owned by or licensed to us and are protected by intellectual property laws. Except for content you submit, you may not copy, reproduce, republish, distribute, modify, or create derivative works from the Site without our prior written permission. Third-party marks are the property of their respective owners.

The Site may load resources from, or link to, third parties (for example, content-delivery networks that serve fonts and styling). We do not control and are not responsible for third-party websites, services, or content, and your use of them is at your own risk and subject to their terms.

Content on the Site is provided for general informational purposes only and does not constitute professional, engineering, or legal advice. Descriptions of services, capabilities, pricing, and availability are subject to change and do not constitute a binding offer. Any quote or proposal is non-binding until set forth in a separate written agreement signed by us.

9. Disclaimer of Warranties

The Site is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will Recycled Base Materials, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Site, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to defend, indemnify, and hold harmless Recycled Base Materials and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Submissions, your use of the Site, or your violation of these Terms or any law or third-party right.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, you agree that any dispute will be brought exclusively in the state or federal courts located in Los Angeles County or Ventura County, California, and you consent to personal jurisdiction and venue there.

Informal Resolution

Before filing a claim, you agree to first try to resolve the dispute informally by contacting us and allowing 30 days for the parties to reach a resolution.

Binding Arbitration & Class-Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by binding arbitration administered by a recognized arbitration provider under its applicable consumer rules, on an individual basis, and conducted in or remotely from Los Angeles County or Ventura County, California. You and Recycled Base Materials waive any right to a jury trial and any right to participate in a class, collective, or representative action. Either party may bring an individual claim in small-claims court. This arbitration provision is governed by the Federal Arbitration Act. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court.

Note for review: Binding arbitration and class-action waivers are significant choices with trade-offs and specific drafting/enforceability requirements. Confirm this section with your attorney, including the arbitration provider, rules, fee allocation, and any opt-out right, before publishing.

13. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the "Last Updated" date and post the revised Terms on this page. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Headings are for convenience only.
